Terms of Service 

Hello and welcome! We are glad that you are taking the time to read these terms of service (the “Terms”).

These Terms are important as they, together with your booking confirmation email (the “Booking Confirmation”), set out the legal terms on which services are made available to you through our platform. They also cover any interactions or communications you have with us through our platform.

Your use of our platform is conditioned upon your acceptance of these Terms. To book a service, you must also accept these Terms. If you do not accept these Terms, please do not use our platform or book any service.

We may change these Terms at any time, and your future use of our platform following changes to these Terms is subject to your acceptance of the updated Terms. We recommend that you save or print a copy of these Terms.

In these Terms:

  • “we", “us” or “our” refer to Simplicity, a company providing our services

  • “our Group of Companies” refers to us, and our subsidiaries and corporate affiliates

  • “our Partners” refers to any affiliated, co-branded, or linked website through which our Group of Companies provides content or service

  • “our platform” refers to the provision of our websites, apps, and online tools

  • “Service Provider” refers to the supplier making available the services to you through our platform

  • “Services” refer to the services made available to you by the relevant Service Provider(s) through our platform, such as stays at a property, rentals, or other activities

  • “you” refers to you, the customer, using our platform or making a booking.

Please read these Terms carefully.

Section 1: Rules and Restrictions

In addition to these Terms, other terms and conditions provided by Service Providers (such as a property's terms and conditions or a rental agreement) also apply to your booking (“Rules and Restrictions”).

To make a booking, you must accept the Rules and Restrictions of the Service Provider that you select. The relevant Rules and Restrictions are provided to you before you make a booking and are incorporated by reference into these Terms.

If you violate a Service Provider's Rules and Restrictions, your booking may be canceled, and you may be denied access to the relevant service. You may also lose any money paid for such booking, and we or the Service Provider may debit your account for any costs we or they incur as a result of such violation.

Section 2: Using our Platform

Our rules We provide our platform to help you find information about services and assist you in booking those services. It is provided to you for no other purpose.

You agree that:

  • You will only use our platform for personal and non-commercial purposes.

  • You must be at least 18 years of age and have the legal authority to enter into contracts.

  • You will use our platform lawfully and in compliance with these Terms.

  • All information supplied by you is true, accurate, current, and complete.

  • If you have an account with us, you will safeguard your account information and be responsible for any use of your account by you or others.

If you book on behalf of others:

  • You will inform them about the terms that apply to the booking (including the Rules and Restrictions) and ensure that they agree to such terms.

  • You are responsible for paying any amounts due, making any changes or cancellations, and all other matters relating to the booking.

You also agree not to:

  • Make any false or fraudulent bookings.

  • Access, monitor, or copy any content on our platform using automated means.

  • Violate restrictions in any robot exclusion headers or bypass other measures that limit access to our platform.

  • Take any action that imposes an unreasonable load on our infrastructure.

Access We may deny access to anyone at any time for any valid reason. We may also make improvements and changes to our platform.

Section 3: Simplicity Account

To create an account, you must be at least 18 years old and follow the registration instructions provided in the Simplicity app. Your Simplicity account enables you to access and manage your travel bookings. The same credentials can be used across the Simplicity platform.

To access and use the Simplicity travel services, you are required to create a Simplicity Account. Instead of creating an account with a username and password, you can sign up or log in using third-party authentication services provided by Google or Apple. This allows for a more streamlined and secure sign-in process.

By choosing to sign in using "Continue with Google" or "Continue with Apple", you authorize Simplicity to access certain personal information associated with your Google or Apple account, such as your name, email address, and profile picture. The information we collect is used solely for the purpose of creating and managing your Simplicity account, enabling travel-related services, and personalizing your experience.

Responsibilities and Security

  • Account Information: You are responsible for maintaining the accuracy of the information associated with your Simplicity account. If any changes occur in your Google or Apple account (e.g., a change of email address), it is your responsibility to update this information accordingly in your Simplicity account settings.

  • Account Security: When using third-party sign-in options, Google or Apple may also provide additional layers of security such as two-factor authentication (2FA). While Simplicity leverages these secure methods, you are responsible for safeguarding access to your device and your associated Google or Apple credentials. Do not share your credentials or allow unauthorized access to your account.

  • Account Access: In the event of a security breach, or if you suspect any unauthorized use of your Simplicity account, you must notify us immediately. We are not responsible for any losses or damages arising from unauthorized use of your account unless we fail to take reasonable measures to secure your data.

Third-Party Authentication

By using the Google or Apple authentication to create or log in to your Simplicity account, you agree to comply with the terms and conditions of the respective authentication provider (Google or Apple). Simplicity does not have control over the privacy practices or security measures of these third-party platforms. We recommend that you review their privacy policies and terms of service to understand how they handle your data.

Termination of Account

You may terminate your Simplicity account at any time by following the instructions in the account settings. If you terminate your account, we will stop processing your personal data related to the account, except where we are required to retain it to comply with legal obligations. Please note that some travel services may not be available after termination, and any pending travel bookings may be canceled.

Search Results

We aim to make search results as relevant as possible by allowing you to sort results based on factors such as price, guest reviews, or your preferences. Some options are paid-for listings clearly labeled as “Ad” to distinguish them from other travel options.

Redirection and Third-Party Booking Services

If you are redirected to a third-party booking service (such as car rentals), any bookings made are with the third party, and their terms and conditions apply. We are not responsible for such bookings.

Booking Confirmation

Your Booking Confirmation will include essential details of your reservation, such as the service description and the total price.

Section 4: Payment

Price The price for the Travel Service(s) will be as displayed on our platform, except in cases of obvious error. Prices are dynamic and may change at any time, but price changes will not affect accepted bookings, except in cases of an apparent error. If such an error occurs, we will offer you the option to pay the correct price or cancel your booking without penalty.

Taxes Displayed prices may include taxes or tax recovery charges. These can include VAT, sales tax, occupancy tax, or other similar taxes. Local taxes may vary based on the jurisdiction, and changes in tax rates between booking and stay dates may affect the amount owed. In certain cases, local taxes will be collected by the Travel Provider, and you will be notified prior to booking if applicable.

The Travel Provider is responsible for remitting taxes to the authorities, and any discrepancies or adjustments in tax amounts due to varying jurisdictional rules will be handled accordingly.

Section 5: Payment Processing (via Stripe and Pay Now Options)

All payments for Travel Services on Simplicity are processed through Stripe. We accept various payment methods, including credit cards, Apple Pay, and Google Pay. Payments are taken at the time of booking ("Pay Now") and will be processed in your local currency, depending on the payment method.

Payment Verification: You authorize Simplicity and Stripe to verify your payment method through pre-authorization or nominal charges, and upon successful verification, the full amount will be charged.

Fees and Currency Conversion: Your card issuer may impose additional fees for international or currency conversion transactions. If your card currency differs from the booking currency, your card issuer might convert the amount and apply a conversion fee. Simplicity is not responsible for these fees; please contact your card issuer for any questions regarding fees or exchange rates.

Fraud Prevention: If your booking shows signs of fraud or suspicious activity, Simplicity may request additional information or cancel your booking to prevent potential abuse.

Section 6: Cancelling a Booking

Cancellation :You may cancel your booking (e.g., dates, destination, or accommodations) directly in app or by contacting our customer service. However, changes are subject to the relevant Travel Provider's Rules and Restrictions, which are provided at the time of booking. Fees may apply for cancellations or changes, and the new booking price may differ from the original.

Other Cancellations In cases where full payment is not made or the Travel Provider cancels (e.g., overbooking or unforeseen closures), Simplicity will notify you and offer alternatives or refunds.

Refunds Refunds will be made to the original payment method, but we do not control the Travel Provider's refund process.

Section 7: Simplicity Travel Service Specific Terms

Simplicity operates as a social travel network where users rate their top 10 attractions, visible to others but without direct interaction or deposit requirements.

Ratings

  • Ratings reflect user preferences and are based solely on their reviews of attractions. Simplicity displays these ratings for reference, but no specific interaction or communication is allowed between users.

Changes or Cancellations

  • Bookings can be changed or canceled according to the Travel Provider’s terms. No deposits are required.

Refunds are processed based on the rules set by the Travel Provider

Section 8: Subscription Model

Our subscription model is entirely optional, allowing you the choice to subscribe or not. Subscriptions are managed through the Apple App Store or Google Play Store, following the standard in-app subscription procedures. You will be able to view and manage your subscription directly in your mobile device's settings. By subscribing, you will gain full access to all features and benefits available exclusively to subscribers. The specific advantages associated with the subscription are subject to change and may be updated from time to time. Section 9: Intellectual Property Policy and Notices for Simplicity

Intellectual Property Infringement Policy
Simplicity respects intellectual property rights. Users are prohibited from posting infringing content. We will terminate accounts of repeat offenders. For intellectual property complaints, please contact us at info@onesimplicity.com.

Software
Any software made available through Simplicity is copyrighted. Users are granted a limited, non-transferable license for personal use. Redistribution or reproduction is prohibited, and violators will be prosecuted.

Map Terms
Mapping services used in Simplicity are governed by Google Maps and OpenStreetMap terms.

Section 10: No Warranty

Unless stipulated otherwise in these Terms, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, SIMPLICITY EXPLICITLY DISCLAIMS ALL EXPRESS AND IMPLIED, STATUTORY, OR OTHER CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIMPLICITY MAKES NO EXPRESS REPRESENTATIONS OR WARRANTIES WITH REGARD TO THE SERVICES.

Section 11: Limitation of Liability

UNLESS EXPLICITLY STIPULATED OTHERWISE IN THESE TERMS, NEITHER SIMPLICITY, ITS AFFILIATES, CONTRACTORS, NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO LOST PROFITS, LITIGATION COSTS, LOSS OF DATA, GOODWILL, PRODUCTION, BUSINESS OPPORTUNITIES, OR REPUTATION, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SIMPLICITY HAS BEEN INFORMED, ADVISED OR COULD HAVE EXPECTED THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF SIMPLICITY TO THE USER UNDER THESE TERMS AND IN RELATION TO THE SERVICES BE HIGHER THAN THE AMOUNT OF ANY ACTUAL DIRECT DAMAGES UP TO THE AMOUNT OF USD 100. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN KINDS OF DAMAGES, SO THE ABOVE LIMITATION MAY NOT FULLY APPLY TO THE USER. HOWEVER, IN THESE JURISDICTIONS, THE FOREGOING EXCLUSIONS AND LIMITATIONS WILL BE ENFORCED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

Section 12: Indemnification

You agree to indemnify, defend and hold harmless Simplicity and its parents, subsidiaries and affiliates and each of their respective owners, members, managers, directors, officers, employees, and agents (collectively as “Indemnitees”) from and against any expenses (including reasonable attorney’s costs), losses, damages and liabilities including any regulatory investigation or third party subpoena costs (“Losses”) arising out of any third-party claim brought against any of the Indemnitees that results from or relates to: (i) your use of the Services; (ii) access to the Services by you or any person using your User Account and password; (iii) your breach of these Terms; or (iv) your User Content published through the Application.

Section 13: Confidential Information

Both Simplicity and the User agree that all financial, business and technical information (e.g. business and marketing plans and strategies, business relationships, vendor information and customer information, source code, and trade secrets), including any information disclosed by or on behalf of Simplicity or the User in relation to the provision of Services that is of nature that should reasonably be considered to be confidential and sensitive constitute each party’s “Confidential Information”. Simplicity and User represent and warrant that they will hold in strict confidence, and exercise all reasonable precautions to prevent unauthorized access to, and not disclose or, except for performing their obligations and exercising their rights hereunder, use any Confidential Information. However, the foregoing obligations shall not apply to any Confidential Information that the recipient can demonstrate is (a) previously known by it without restriction; (b) rightfully furnished to it without restriction by a third party; (c) generally available to the public without breach of these Terms; (d) independently developed by it without reference to or use of any of the discloser’s Confidential Information; or (e) used or disclosed with the express permission of the discloser. For the avoidance of any doubt, User Content is not considered as Confidential Information.

The recipient is allowed to disclose Confidential Information if required pursuant to any judicial or administrative process or order or as may otherwise be required to be disclosed by law, however, in such a case it shall, as soon as practicable and prior to any such disclosure, give the discloser sufficient notice and reasonable assistance to contest such requirement or order should it wish to do so.

User References and Marketing

The User acknowledges and agrees that Simplicity will promote the Services to the Residents and gives Simplicity consent to publicly refer to it as a user of the Services, and use its name and logo for marketing purposes including on Simplicity’s website and public or private communications. Section 14: General

These Terms constitute the entire agreement with respect to your access to and use of the Services. For the avoidance of any doubt, Simplicity’s obligations, if any, with regard to our Services are governed solely by the Terms and nothing in the Application or Admin Interface shall be construed to alter these Terms.

You agree that Simplicity may, in its sole discretion and without prior notice, terminate your access to the Services and/or block your future access to the Services if we determine you have violated these Terms or other agreements or guidelines which may be associated with your use of the Services.

If any provision of these Terms is unlawful, void or unenforceable, then that provision will be deemed severable from the remaining provisions and will not affect their validity and enforceability. The failure by Simplicity to enforce any provision of these Terms will not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.

The law of the State of New York, without regard to its conflict of laws provisions, will govern these Terms and any matter or dispute arising out of or in relation to the Services. The courts located in the State of New York will have exclusive jurisdiction over any dispute relating to these Terms or the Services.
